Responsibilities
• Manage the company secretarial department as the Company Secretary.
• Attend Board, Committee and Management meetings and prepare minutes of meetings.
• Organizing, preparing, coordinating, compiling and circulating meeting papers for all board, committee and management meetings, AGMs and EGMs.
• Administer all company secretarial practices including updating, maintaining, submission and taking custody of all relevant statutory records, minutes books, forms, documents and common seal of the company.
• Liaise with Bursa Malaysia, Securities Commission, Bank Negara Malaysia, Companies Commission of Malaysia and other relevant statutory bodies including Management and staff on secretarial functions.
• Preparation of notice of meeting, agenda, board resolution, statutory documents, annual reports, corporate statements and Bursa Malaysia announcements.
Requirements
• Institute of Chartered Secretaries & Administrators qualification or Degree in Law.
• Member of MAICSA.
• Minimum 10 years of company secretarial experience.
• Sound knowledge of the Companies Act, Listing Requirements of Bursa Malaysia Securities Berhad, Malaysia Code of Corporate Governance and other relevant statutory and regulatory requirements.
• Self-motivated with ability to work independently and under pressure.
• Responsible, diplomatic, maintain confidentiality, integrity, meticulous and adaptability.
• Good communication and supervisory skills.
